1. Acceptance of These Terms
These Terms of Use (“Terms”) govern access to and use of vortivex.ai and its public forms and content. By using the website or submitting a form, you agree to these Terms and to the Vortivex Privacy Policy. If you do not agree, do not use the website.
If you use the website on behalf of a company or other organization, you represent that you have authority to act for that organization.
2. About Vortivex and the Website
Vortivex LLC (“Vortivex,” “we,” “us,” or “our”) is a Delaware limited liability company providing IT staffing and contractor-coordination services. The website allows businesses to request staffing information and allows technical professionals to submit information for possible contractor opportunities.
3. No Guarantee of Services, Placement, or Engagement
- Submitting a staffing request does not obligate Vortivex to provide a candidate or service.
- Submitting a technician application does not create employment, independent-contractor status, an agency relationship, or a promise of placement.
- Vortivex does not guarantee interviews, assignments, minimum hours, compensation, continuous work, or acceptance by any client.
- A client remains responsible for interviewing candidates and determining whether a candidate fits its operational, technical, security, and compliance needs.
- Vortivex may accept, decline, suspend, or discontinue discussions or opportunities at its discretion, subject to applicable law and signed agreements.
4. Accuracy of Information
You agree that information you submit is truthful, current, complete, and not misleading. Technician applicants must not misrepresent experience, identity, employment history, references, certifications, work authorization, availability, or technical qualifications. Clients must provide reasonably accurate descriptions of staffing needs, schedules, technical requirements, and access expectations.
Vortivex may request additional information and may verify identity, references, work history, certifications, and other relevant information. Verification does not guarantee that every statement or record is complete or error-free.
5. Website Forms and Communications
By submitting a form, you authorize Vortivex to contact you about the request, application, possible opportunities, and related business matters. Standard internet and telecommunications risks apply.
Do not submit passwords, client credentials, protected health information, banking credentials, government identification numbers, or other highly sensitive information through public website forms or ordinary email.
Form submissions are processed using Formspree and business communications may be handled through Google Workspace, as described in the Privacy Policy.
6. Acceptable Use
You may not:
- Use the website for unlawful, fraudulent, deceptive, abusive, discriminatory, or harmful purposes.
- Submit false identities, fabricated qualifications, fake references, malicious links, or misleading staffing requests.
- Attempt to gain unauthorized access to the website, forms, accounts, systems, or data.
- Introduce malware, scripts, automated abuse, excessive requests, or tools intended to disrupt or test the site without written authorization.
- Scrape, copy, republish, or commercially exploit website content except as permitted by law or written authorization.
- Impersonate Vortivex, a client, a contractor, or another person.
- Use information obtained through Vortivex to bypass, solicit, or contract directly with a Vortivex-introduced relationship in violation of a signed agreement.
7. Intellectual Property
The website, Vortivex name, logo, branding, text, layout, graphics, and original materials are owned by or licensed to Vortivex and are protected by applicable intellectual-property laws. No ownership rights are transferred to you.
You retain ownership of information and materials you submit, subject to the permissions reasonably necessary for Vortivex to evaluate, communicate, match, verify, and administer your request or application as described in the Privacy Policy.
8. Third-Party Services and Links
The website may rely on or link to third-party services, including Cloudflare, Formspree, Google Workspace, Google Fonts, LinkedIn, and other external resources. Vortivex does not control third-party availability, terms, privacy practices, security, content, or performance and is not responsible for them except to the extent required by law.
9. Client Systems and Security Responsibilities
Vortivex currently provides staffing and contractor coordination, not managed infrastructure services. Unless a signed agreement expressly states otherwise, each client is responsible for:
- Provisioning, restricting, monitoring, and revoking accounts and access.
- VPN, remote desktop, cloud, identity, endpoint, network, and other security controls.
- Backups, logging, monitoring, incident response, licensing, and regulatory compliance.
- Determining whether a technician may access confidential, regulated, patient, financial, or other sensitive information.
- Providing applicable policies, training, tools, and operational instructions for its environment.
Contractors are expected to follow Vortivex confidentiality obligations, applicable client rules, and authorized-access limitations.
10. Healthcare and Regulated Information
Vortivex does not represent through this website that it is HIPAA compliant, that every service is suitable for protected health information, or that a Business Associate Agreement (“BAA”) is automatically available.
Any healthcare or dental engagement involving protected health information must be evaluated separately. A BAA, additional safeguards, client approval, contractor obligations, and other written terms may be required before access is permitted. Vortivex may decline an engagement if appropriate legal, contractual, insurance, technical, or security requirements are not in place.
11. Disclaimers
THE WEBSITE AND PUBLIC CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORTIVEX DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Vortivex does not warrant that the website will always be available, uninterrupted, secure, error-free, or free of harmful components. Website content is general information and is not legal, tax, accounting, insurance, employment, immigration, cybersecurity, or regulatory advice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORTIVEX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF OR INABILITY TO USE THE PUBLIC WEBSITE, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORTIVEX’S TOTAL LIABILITY ARISING SOLELY FROM USE OF THE PUBLIC WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS WEBSITE LIMIT DOES NOT REPLACE OR MODIFY LIABILITY TERMS IN A SEPARATELY SIGNED AGREEMENT.
Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Vortivex and its owners, officers, personnel, and service providers from claims, losses, liabilities, and reasonable costs arising from your unlawful use of the website, material misrepresentations, violation of these Terms, or infringement of another party’s rights.
14. Suspension and Termination
Vortivex may restrict or terminate access to the website, forms, or communications when reasonably necessary to address suspected fraud, abuse, security threats, unlawful conduct, false information, harassment, or violation of these Terms. Provisions that by their nature should survive will survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to applicable law and any controlling signed agreement, disputes relating solely to the public website will be brought in a state or federal court with proper jurisdiction in Delaware, and the parties consent to personal jurisdiction there.
16. Changes to These Terms
We may update these Terms as our website, forms, services, or legal requirements change. The “Last updated” date identifies the latest version. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
17. General Provisions
If a provision is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. These Terms and the Privacy Policy constitute the agreement governing the public website, except where a separately signed agreement applies.
